Terms of Service

1. Agreement to Terms

These Terms of Service apply from the moment you use our website, and become a binding agreement governing any paid engagement once you submit a campaign brief through our contact form or complete an order on a paid plan. If you do not agree to these Terms, please do not use the Service.

2. Description of Service

FondAds provides an AI-powered platform that generates video advertisements featuring historical, mythological, and original figures based on information you provide. The number of video ads, export resolution, rendering priority, and revision allowance included depend on the plan you select — see our Pricing page for current plan details, which forms part of these Terms once you subscribe to or order a plan.

3. Submitting a Request

When you submit a campaign brief or contact request, you agree to provide accurate information. We use this information to prepare and deliver ad concepts as described on our website and in accordance with our Privacy Policy.

4. Eligibility

You must be at least 18 years old and authorized to bind the business you represent to use the Service. By submitting a request or order, you represent that both are true.

5. Pricing and Payment

• Current pricing and plan features are listed on our Pricing page, which is incorporated into these Terms for any plan you purchase.
• Paid plans bill monthly or annually as selected at checkout; annual billing is discounted as shown on the Pricing page. Subscriptions renew automatically at the then-current price unless canceled before the renewal date.
• We'll give you at least 30 days' notice by email before any price increase takes effect on your existing subscription.
• Custom/agency engagements are governed by a separate order form or agreement, which takes precedence over this section for that engagement.

6. Intellectual Property

• You retain ownership of the business information, branding, and creative direction you provide to us.
• Upon full payment for the applicable plan or engagement, you receive a license to use the video ads generated for you in your own marketing, in perpetuity, for the purposes described on our website.
• FondAds retains ownership of its underlying technology, figure library, and any pre-existing creative assets. The FondAds name, website, and technology are owned by FondAds and may not be copied or used without permission.
• We may retain draft concepts and ads you don't end up licensing, but will not sell or deliver them to any other customer as-is; we do remain free to create separate ads for other customers — including competitors — using the same figure from our library, our general production methods, and non-confidential techniques, since no figure in our library is licensed to you exclusively unless a separate written exclusivity agreement says otherwise.
• If your brief includes materials you supply — logos, footage, music, or other assets — you represent that you own them or have the right to use and provide them to us, and you agree to indemnify us against claims arising from our use of those materials as you directed.

7. Figures, Publicity Rights, and Your Responsibilities

Our standard figure library is limited to mythological gods, legendary folk heroes, fairy tale archetypes, and public domain literary characters (e.g., Hermes, Thor, Robin Hood, Sherlock Holmes) — material we've selected specifically because it's free to use and doesn't carry a living person's or estate's publicity rights. FondAds represents that use of these standard library figures, as provided by us, does not knowingly infringe a third party's publicity or trademark rights.

If you request a custom, named, trademarked, or real-person figure outside our standard library, you are solely responsible for confirming you have the right to use that figure in advertising, and you agree to indemnify and hold FondAds harmless from any claim — including publicity-rights, right-of-privacy, trademark, or defamation claims — arising from that request. FondAds does not verify publicity, trademark, or estate rights for custom or user-requested figures and disclaims responsibility for doing so.

8. Acceptable Use

You agree not to use the Service to create content that:

• Is unlawful, defamatory, or infringing, or misrepresents a real, living person without appropriate rights.
• Contains hate speech, harassment, or sexual content involving minors.
• Constitutes political, election-related, or other synthetic media designed to be mistaken for genuine factual or documentary footage of a real person or event.

Violating this section may result in immediate suspension or termination of your access without refund, in addition to any other remedy available to us.

9. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, express or implied. We do not guarantee specific business results from any ad we generate.

10. Limitation of Liability

To the fullest extent permitted by law, FondAds is not liable for any indirect, incidental, or consequential damages arising from your use of the Service. Except for your indemnification obligations under Sections 6 and 7, our total liability arising out of or relating to the Service will not exceed the fees you paid us in the 12 months preceding the claim.

11. Indemnification

In addition to the specific indemnities in Sections 6 and 7, you agree to indemnify and hold FondAds harmless from any third-party claim arising from your use of the Service in violation of these Terms or applicable law.

12. Termination, Suspension, and Cancellation

• We may suspend or terminate access to the Service for any user who violates these Terms; fees already paid are non-refundable in that case.
• You may cancel a subscription at any time; cancellation takes effect at the end of the current billing period, and you retain access and your license to already-delivered ads through that date.
• Your license to any ads already delivered to you survives termination or cancellation of your account.

13. Refunds

Fees for delivered ads and completed engagements are generally non-refundable. If we're unable to deliver a requested ad due to a fault on our part, we'll provide a credit or refund for that specific deliverable at our discretion. Custom/agency engagements follow the refund terms in their separate agreement, if any.

14. Dispute Resolution; Governing Law

These Terms are governed by the laws of [State/Country to be finalized], without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration on an individual basis, and you and FondAds each waive the right to a jury trial or to participate in a class action. Either party may instead bring an individual claim in small-claims court where available.

15. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the new Terms. For material changes, we'll make reasonable efforts to notify active customers by email.

16. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with our Privacy Policy and any order form or plan details you've agreed to, are the entire agreement between you and FondAds regarding the Service. Our failure to enforce a provision isn't a waiver of our right to do so later.
